Why choose a limited company?
Because of its limitation of liability, the GmbH (Gesellschaft mit beschränkter Haftung), is the most popular legal form for corporations in Germany. Here, the partners are not liable with their private assets. Liability is limited to the company’s assets.
The only challenge is the amount of the capital contribution, which for the GmbH is at least EURO 25,000. When the company is entered in the commercial register, however, only half of the capital contribution must be made. But beware, some shareholders wait too long with the payment of the capital contribution. In case of insolvency or dissolution of the company, the payment of the entire capital contribution must still be made.
